1. Welcome

Welcome to BuySell.ng ("BuySell", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of BuySell's website, mobile applications, APIs, products, services, and any related platforms operated by BuySell.

By creating an account, accessing, or using BuySell, you confirm that you have read, understood, and agreed to be bound by these Terms and our related policies.

If you do not agree to these Terms, you must not access or use the Platform.

2. About BuySell

BuySell is a digital commerce platform that connects:

●        Buyers

●        Sellers

●        Manufacturers

●        Financial Institutions

●        Logistics Partners

●        Service Providers

BuySell provides technology that enables users to discover products, compare financing options, place orders, process payments, coordinate deliveries, and access other digital commerce services.

Unless expressly stated otherwise, BuySell:

●        is not the manufacturer of products listed by independent sellers;

●        is not the lender providing financing;

●        is not a logistics company;

●        does not guarantee the availability of products offered by third-party sellers; and

●        acts as a technology platform facilitating transactions between users.

3. Definitions

For the purpose of these Terms:

Buyer means any individual or business purchasing products or services through BuySell.

Seller means any merchant, distributor, manufacturer, wholesaler, retailer, or business registered to sell products or services on BuySell.

Manufacturer means a company supplying products directly through BuySell or authorised merchants.

Lender means any licensed financial institution providing financing through the Platform.

Platform means the BuySell website, mobile applications, APIs, software, and associated services.

Settlement Wallet means the merchant wallet used to receive proceeds from completed transactions after applicable deductions.

Order means a purchase successfully placed through BuySell.

Business Day means any day excluding Saturdays, Sundays, and public holidays in Nigeria.

4. Eligibility

To use BuySell you must:

●        be at least 18 years old;

●        have the legal capacity to enter into binding contracts;

●        provide accurate information during registration;

●        comply with applicable Nigerian laws and regulations;

●        complete identity verification where required.

Businesses registering on BuySell must possess all required registrations, licences, permits, and tax obligations applicable to their operations.

BuySell reserves the right to refuse registration or suspend any account that fails to meet these requirements.

5. Creating an Account

You agree that:

●        all information provided is accurate and current;

●        you will promptly update your information whenever it changes;

●        your login credentials remain confidential;

●        you are responsible for all activities carried out under your account;

●        you will immediately notify BuySell of any unauthorized access.

BuySell may require additional Know Your Customer (KYC) verification at any time.

Failure to complete verification may result in limited access, temporary suspension, or permanent termination.

6. Acceptable Use

You agree not to:

●        provide false information;

●        impersonate another person or business;

●        create multiple fraudulent accounts;

●        upload malicious software or harmful code;

●        interfere with Platform security;

●        attempt unauthorized access to any BuySell systems;

●        manipulate reviews or ratings;

●        use automated bots without authorization;

●        engage in money laundering or fraudulent activities;

●        sell prohibited or illegal products;

●        infringe intellectual property rights;

●        attempt to bypass BuySell by completing transactions outside the Platform with customers introduced through BuySell.

Violation of this section may result in immediate suspension or permanent removal from the Platform without prior notice, and legal sanctions.

7. Account Suspension and Termination

BuySell reserves the right to suspend, restrict, or permanently terminate any account where we reasonably believe that a user has:

●        breached these Terms;

●        engaged in fraud or attempted fraud;

●        violated applicable laws;

●        abused other users;

●        sold counterfeit or prohibited products;

●        manipulated transactions or reviews;

●        failed required verification;

●        created unacceptable financial or reputational risk to the Platform.

BuySell may also suspend specific services while investigations are ongoing.

Termination of an account does not relieve a user of outstanding financial obligations incurred before termination.

8. Changes to These Terms

BuySell may update these Terms from time to time to reflect changes in our services, legal obligations, or business operations.

Where changes are material, users will be notified through the Platform or by email.

Your continued use of BuySell after updated Terms become effective constitutes acceptance of the revised Terms.

10. Buyer Terms

10.1 Purchasing Products

When placing an order on BuySell, you agree that:

●        You are legally authorized to make the purchase.

●        All information provided during checkout is accurate and complete.

●        You have sufficient funds or approved financing to complete the transaction.

●        You will comply with all applicable laws relating to the purchase and use of the product.

An order is considered successfully placed only after payment has been confirmed or financing has been approved by an eligible lender.

Submitting an order does not guarantee product availability. BuySell or the Seller may cancel an order where the product is unavailable, incorrectly priced, suspected to be fraudulent, or otherwise cannot be fulfilled.

10.2 Product Information

BuySell requires Sellers to provide accurate product descriptions, specifications, images, pricing, warranties, and availability.

While BuySell reviews listings for compliance, product information is supplied by independent Sellers and Manufacturers.

Accordingly:

●        Product images may differ slightly from the actual product due to lighting, display settings, or manufacturer updates.

●        Product specifications may change without prior notice where updated by the manufacturer.

●        BuySell does not warrant that every product description is error-free.

Where a listing contains a material error affecting the transaction, BuySell reserves the right to correct the error or cancel the affected order.

10.3 Pricing

Unless otherwise stated:

●        All prices are displayed in Nigerian Naira (₦).

●        Prices may include applicable taxes where required by law.

●        Delivery fees, financing charges, or other applicable fees will be displayed separately before checkout.

●        Prices may change at any time before an order is confirmed.

Once an order has been successfully confirmed, the agreed purchase price shall remain applicable to that order.

10.4 Payment

Buyers may pay using payment methods supported on the Platform, including but not limited to:

●        Debit Cards

●        Bank Transfer

●        Digital Wallets

●        Buy Now, Pay Later (BNPL)

●        Other approved payment methods

Payments are processed through licensed payment service providers.

BuySell does not store complete payment card details.

10.5 Buy Now, Pay Later (BNPL)

Where financing is selected:

●        Loan approval is determined solely by the participating Lender.

●        BuySell does not approve or reject loan applications.

●        BuySell does not determine interest rates, repayment schedules, fees, or credit limits.

●        Financing agreements are entered into directly between the Buyer and the selected Lender.

Failure to repay a loan may affect your credit profile and relationship with the Lender.

BuySell shall not be liable for decisions made by any participating financial institution.

10.6 Order Confirmation

After an order is placed, you may receive:

●        Order Confirmation

●        Payment Confirmation

●        Financing Confirmation (where applicable)

●        Shipment Updates

●        Delivery Updates

BuySell reserves the right to request additional verification before processing any order where fraud prevention measures require further review.

10.7 Delivery

Delivery services are provided by independent logistics partners.

Estimated delivery timelines are provided for convenience only and may vary due to:

●        weather conditions;

●        traffic;

●        security concerns;

●        public holidays;

●        customs delays;

●        force majeure events; or

●        other circumstances beyond BuySell's reasonable control.

BuySell will make reasonable efforts to facilitate timely delivery but does not guarantee delivery within any specific timeframe unless expressly stated.

10.8 Inspection Upon Delivery

Buyers are encouraged to inspect products immediately upon delivery before accepting the package.

Inspection should include verification of:

●        Product model

●        Quantity

●        Visible damage

●        Accessories

●        Packaging condition

Acceptance of a delivery without reporting visible defects may affect your eligibility for certain claims, except where consumer protection laws provide otherwise.

10.9 Failed Delivery

A delivery may be considered unsuccessful where:

●        the Buyer cannot be reached;

●        the delivery address is incorrect;

●        delivery is refused without valid reason;

●        repeated delivery attempts fail.

Where delivery fails due to Buyer-related circumstances, additional delivery charges may apply.

10.10 Order Cancellation

A Buyer may request cancellation before an order has been dispatched.

Cancellation requests submitted after dispatch may not be approved.

BuySell reserves the right to cancel any order where:

●        fraud is suspected;

●        payment cannot be verified;

●        financing is declined;

●        the product becomes unavailable;

●        pricing errors occur;

●        legal or regulatory requirements prevent fulfilment.

Where payment has already been made, eligible refunds will be processed in accordance with the Return and Refund Policy.

10.11 Returns

Eligible products may be returned where:

●        the wrong item was delivered;

●        the product arrives damaged;

●        the product is defective upon delivery;

●        the product materially differs from its description;

●        counterfeit products are supplied.

Products generally may not be eligible for return where:

●        they have been used beyond reasonable inspection;

●        accessories or original packaging are missing;

●        the return request falls outside the applicable return period;

●        damage results from misuse or negligence.

Certain product categories may have separate return conditions.

10.12 Refunds

Approved refunds will be processed using the original payment method where possible.

Refund timelines may vary depending on:

●        payment provider;

●        financial institution;

●        lender;

●        card issuer; or

●        applicable banking procedures.

Where a purchase was financed through BNPL, refunds may first be applied toward outstanding financing obligations before any remaining balance is paid to the Buyer, subject to the financing agreement.

10.13 Product Warranty

Manufacturer warranties remain the responsibility of the Manufacturer or Seller unless expressly stated otherwise.

BuySell does not independently provide warranties on products sold by third-party Sellers.

Warranty claims shall be processed in accordance with the applicable warranty terms.

10.14 Buyer Conduct

Buyers must not:

●        abuse Sellers or delivery personnel;

●        submit fraudulent claims;

●        intentionally damage products before requesting refunds;

●        manipulate reviews;

●        use stolen payment methods;

●        engage in chargeback fraud;

●        misuse promotional offers.

Violation of these obligations may result in suspension, termination of the account, cancellation of future orders, and, where appropriate, legal action.

10.15 Buyer Responsibilities

By using BuySell, you acknowledge and agree that you are responsible for:

●        maintaining the confidentiality of your account credentials;

●        providing accurate information;

●        complying with all applicable laws;

●        making timely payments for financed purchases;

●        inspecting products upon delivery;

●        promptly reporting issues through the Platform.

Failure to comply with these responsibilities may affect your rights under these Terms.
