Seller Legal Notice

11.1 Becoming a Seller

To sell products on BuySell, you must:

●        Be at least 18 years of age or a legally registered business entity.

●        Complete the required registration and identity verification (KYC) process.

●        Provide accurate business information, including any applicable business registration numbers, tax identification numbers, and banking details.

●        Maintain all licenses, permits, and authorizations required to sell your products under applicable law.

●        Accept these Terms and any additional Seller Policies published by BuySell.

BuySell reserves the right to approve, reject, suspend, or terminate any Seller application at its sole discretion.

Approval as a Seller does not guarantee continued access to the Platform.

11.2 Seller Responsibilities

As a Seller, you agree to:

●        Sell only products that you are legally authorized to sell.

●        Ensure all products are genuine, safe, and compliant with applicable laws and regulations.

●        Provide accurate product descriptions, specifications, images, pricing, and inventory information.

●        Maintain sufficient inventory to fulfill accepted orders.

●        Package products securely and professionally.

●        Process orders within the timelines specified by BuySell.

●        Cooperate with Buyers, Logistics Partners, and BuySell during dispute resolution.

Sellers are solely responsible for the accuracy of their listings and the quality of the products they offer.

11.3 Product Listings

Each listing must accurately represent the product being sold.

Sellers must not:

●        upload misleading images;

●        exaggerate product specifications;

●        hide defects;

●        list unavailable products;

●        manipulate prices before promotional campaigns;

●        create duplicate listings intended to manipulate search rankings.

BuySell may modify, suspend, or remove any listing that violates these Terms or applicable policies.

11.4 Product Availability

Sellers must maintain accurate inventory levels.

Where a Seller accepts an order for an unavailable product, BuySell reserves the right to:

●        cancel the order;

●        refund the Buyer;

●        apply performance penalties;

●        temporarily suspend listings; or

●        permanently remove the Seller from the Platform for repeated violations.

11.5 Pricing

Sellers determine their own selling prices unless otherwise agreed under a commercial partnership.

Prices must:

●        be accurate;

●        include all mandatory charges where applicable;

●        not be deceptive or misleading.

BuySell reserves the right to suspend listings that contain obvious pricing errors or pricing practices intended to manipulate the marketplace.

11.6 Product Authenticity

Sellers warrant that every product sold through BuySell is:

●        genuine;

●        legally obtained;

●        free from intellectual property infringement;

●        not counterfeit;

●        not stolen;

●        compliant with applicable product safety regulations.

BuySell maintains a zero-tolerance policy toward counterfeit goods.

Where counterfeit products are identified, BuySell may immediately:

●        remove the listing;

●        suspend the Seller;

●        withhold settlements;

●        notify relevant authorities;

●        permanently terminate the Seller account.

11.7 Restricted Products

Sellers may not list products that are illegal or prohibited under Nigerian law or BuySell policies.

Prohibited products include, but are not limited to:

●        counterfeit goods;

●        stolen property;

●        illegal drugs;

●        weapons prohibited by law;

●        dangerous chemicals;

●        fraudulent financial products;

●        products that infringe intellectual property rights;

●        products prohibited by regulatory authorities.

BuySell may update the list of restricted products from time to time.

11.8 Order Fulfilment

Upon receiving an order, Sellers shall:

●        confirm availability;

●        prepare the product promptly;

●        package the product securely;

●        hand over the package within the prescribed fulfillment period.

Repeated delays may negatively affect Seller performance ratings.

 

11.9 Seller Performance

BuySell continuously evaluates Seller performance based on factors including:

●        order acceptance rate;

●        fulfillment speed;

●        cancellation rate;

●        return rate;

●        customer ratings;

●        dispute history;

●        policy compliance.

Poor performance may result in:

●        reduced product visibility;

●        temporary suspension;

●        reduced promotional opportunities;

●        delayed settlements;

●        permanent account termination.

11.10 Merchant Subscription and Platform Fees

BuySell may charge Sellers for services including:

●        marketplace subscription;

●        transaction fees;

●        advertising;

●        premium visibility;

●        payment processing;

●        logistics coordination;

●        API access;

●        warehousing;

●        additional merchant services.

Applicable fees will be communicated through the Seller Dashboard or separate commercial agreements.

Failure to pay applicable fees may result in suspension of Seller services.

 

 

11.11 Settlement

Sales proceeds will be credited to the Seller's Settlement Wallet after:

●        successful payment;

●        confirmed delivery;

●        expiration of any applicable dispute or fraud review period;

●        deduction of applicable fees, commissions, refunds, taxes, or other authorized deductions.

Settlement schedules may vary depending on Seller classification, product category, payment method, financing arrangements, or applicable regulations.

11.12 Settlement Holds

BuySell reserves the right to temporarily withhold all or part of a Seller's settlement where reasonably necessary to:

●        investigate suspected fraud;

●        resolve customer disputes;

●        process refunds;

●        comply with legal obligations;

●        manage financial risk;

●        recover outstanding amounts owed to BuySell.

Settlement holds shall remain in place only for as long as reasonably necessary.

11.13 Right of Set-Off

The Seller authorizes BuySell to deduct from any settlement amounts due:

●        unpaid platform fees;

●        refunds;

●        chargebacks;

●        penalties;

●        taxes required by law;

●        compensation payable to affected Buyers;

●        any other amounts lawfully owed to BuySell.

Where deductions exceed available settlement balances, the Seller remains responsible for the outstanding amount.

 

11.14 Returns and Customer Support

Sellers agree to cooperate fully in processing:

●        returns;

●        exchanges;

●        warranty claims;

●        refund requests;

●        customer complaints.

Failure to respond within the timelines prescribed by BuySell may result in BuySell resolving the matter on the Seller's behalf.

11.15 Merchant Non-Circumvention

Customers introduced to a Seller through BuySell are customers of the BuySell marketplace.

A Seller shall not directly or indirectly encourage, induce, or facilitate any Buyer to complete transactions outside the BuySell Platform where the relationship originated through BuySell.

This includes:

●        requesting direct bank transfers;

●        sharing personal contact details to avoid Platform fees;

●        directing Buyers to external websites, social media accounts, messaging applications, or physical stores for the purpose of avoiding BuySell commissions.

Violation of this provision constitutes a material breach of these Terms.

BuySell may suspend the Seller account, withhold settlements, terminate the commercial relationship, and pursue any other remedies available under applicable law.

 

11.16 Seller Compliance

Sellers shall comply with all applicable laws, including laws relating to:

●        taxation;

●        consumer protection;

●        product safety;

●        advertising;

●        competition;

●        anti-money laundering;

●        sanctions;

●        data protection;

●        intellectual property.

Sellers remain solely responsible for their legal obligations.

 

11.17 Independent Business Relationship

Nothing in these Terms creates:

●        an employment relationship;

●        a partnership;

●        a joint venture;

●        an agency relationship;

●        a franchise relationship

between BuySell and any Seller.

Each Seller operates as an independent business.

 

11.18 Seller Indemnity

The Seller agrees to indemnify and hold harmless BuySell, its directors, employees, affiliates, and partners from any claims, liabilities, losses, damages, fines, penalties, or expenses arising from:

●        defective products;

●        inaccurate listings;

●        counterfeit goods;

●        infringement of third-party rights;

●        breach of these Terms;

●        violation of applicable law;

●        negligence or misconduct by the Seller.
